Terms of service.

1. Who we are and who these terms apply to
ERA Wellness is provided by UnLead di Gabriele Giudici, Via Armando Diaz 29, 20013 Magenta (MI), Italy, VAT no. IT07471240965 ("UnLead"). These terms govern use of the software by studios, centres and networks that activate it in the course of their business ("Customer"). The service is not intended for consumers.
2. The service
ERA Wellness is subscription software accessed through the browser and hosted by UnLead. It includes the modules described on the Features page at the time of activation. UnLead may update and improve the service; it will not remove essential features without at least 60 days' notice.
3. Activation and accounts
The contract is concluded when the first location is activated. The Customer creates its staff users, assigns roles and permissions and is responsible for keeping credentials safe and for its users' activity.
4. Pricing and invoicing
The fee is monthly and charged per active location: €29 for each of the first three locations and €19 for each location from the fourth, excluding VAT. Fees are invoiced in advance at the start of each month. Locations added or removed during a month count from the following month. UnLead may change prices with 60 days' written notice; a Customer who does not accept may cancel free of charge before the change takes effect.
5. Launch offer
Customers switching from other software receive free migration and import of data in standard formats (CSV, Excel or exports from the previous software) and the first 3 months free. Customers starting with no data to migrate receive the first 6 months free. Free months run from activation of the first location, apply to locations activated in that period and cannot be exchanged for cash. UnLead may end the offer for new activations at any time.
6. Term, renewal and cancellation
The subscription is monthly and renews automatically. The Customer may cancel at any time by writing to [email protected]; cancellation takes effect at the end of the current month and gives no right to a refund of the month already invoiced.
7. Non-payment
If a payment is missed UnLead sends a reminder. Fifteen days after the reminder it may suspend access until payment, keeping the Customer's data intact.
8. Customer data and data protection
Data entered in the software belongs to the Customer. For personal data of end clients, staff and contractors the Customer is the controller and UnLead acts as processor under Art. 28 GDPR, according to the data processing agreement attached to the contract. Health data such as medical certificates is accessible only to authorised roles.
9. Availability and support
UnLead aims to keep the service continuously available, except for scheduled maintenance announced in advance and causes beyond its control. Support is provided by ticket and email on business days. Specific service levels can be agreed for networks.
10. Data export on termination
On termination the Customer may export its data for 30 days. After that UnLead deletes the data, except where the law requires retention, such as for tax purposes.
11. Intellectual property
The software, the ERA Wellness brand and documentation remain UnLead's property. The Customer receives a non-exclusive, non-transferable licence for the term of the subscription.
12. Liability
UnLead is liable for direct damage caused by its gross negligence or wilful misconduct. Otherwise UnLead's total liability is limited to the fees paid by the Customer in the 12 months before the event. The Customer remains responsible for the accuracy of the data it enters and for the tax and health obligations of its business.
13. Changes to these terms
UnLead may update these terms by notifying the Customer at least 30 days in advance. A Customer who does not accept may cancel free of charge before the change takes effect.
14. Governing law and jurisdiction
These terms are governed by Italian law. The courts of the place where UnLead has its registered office have exclusive jurisdiction.
